1. Introduction
These terms and conditions govern your use of the LiquidationAlternative.com website and your engagement with our corporate acquisition services. By using our website or engaging our services, you agree to be bound by these terms.
2. Nature of Services
Liquidation Alternative operates as a commercial investment vehicle specializing in the acquisition of distressed corporate entities. We are not Insolvency Practitioners, licensed legal professionals, or financial advisors.
Our service is strictly the commercial acquisition of 100% of the issued share capital of Limited Companies via a private treaty Share Purchase Agreement (SPA). We do not provide "debt advice" or "debt adjustment" services to individuals.
3. No Legal Advice
The information provided on this website and during our engagement does not constitute legal or financial advice. Directors are strongly encouraged to seek independent professional advice before selling their company shares.
4. Client Representations
By engaging us, you represent and warrant that:
- You have full authority to sell the shares of the company.
- You have disclosed all material facts regarding the company's financial position, including all creditors and liabilities.
- The company is not currently subject to an active Winding Up Order.
- You have not personally guaranteed any corporate debts that have not been disclosed to us.
5. Fees and Payments
Our standard acquisition structure involves a fixed administrative and legal transfer fee, payable upon successful completion of the Share Purchase Agreement. No fees are due until the transaction is legally binding and the transfer documents have been executed.
6. Limitation of Liability
Liquidation Alternative shall not be liable for any indirect, special, or consequential damages arising out of the sale of your company. Our liability is strictly limited to the value of the fees paid for the transaction.
7. Governing Law
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
